By downloading, installing, accessing, or using the FileSeek software and website (collectively, the "Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Service.

2. License Grant and Use

FileSeek provides a local, AI-powered desktop search application. We grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the software strictly in accordance with these terms.

  • Free Trial: We may offer a 30-day free trial. During this period, you may use the software for evaluation purposes.
  • Lifetime License: After the trial, continued use requires the purchase of a one-time lifetime license. This license is tied to your personal account and is non-transferable.
  • Restrictions: You may not reverse engineer, decompile, disassemble, or attempt to extract the source code or proprietary AI models of the software. You may not resell, rent, lease, or distribute the software.

3. User Responsibilities

  • Account Security: You are responsible for safeguarding your account credentials. You must notify us immediately of any unauthorized use of your account.
  • Lawful Use: You agree to use FileSeek only for lawful purposes. You must not use the software to index, search, or manage illegal content.
  • Hardware Requirements: FileSeek utilizes local WebGPU acceleration and AI models. You acknowledge that software performance is dependent on your local hardware capabilities.

4. Intellectual Property Rights

All intellectual property rights in the FileSeek software, website, logos, and original content are owned by FileSeek and its licensors. The software includes third-party open-source components (such as Hugging Face Transformers and Tauri), which are governed by their respective licenses.

5. Updates and Maintenance

We may from time to time provide enhancements or improvements to the features/functionality of the software, which may include patches, bug fixes, and updates. While a "lifetime license" grants you access to the software indefinitely, we do not guarantee indefinite software updates or support for future operating system versions.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. FileSeek does not warrant that the software will be error-free, uninterrupted, or perfectly accurate in its search or AI-similarity results.

7. Limitation of Liability

To the maximum extent permitted by applicable law, FileSeek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of data, files, or documents.
  • System instability or hardware failure resulting from intensive local processing.
  • Loss of profits or business interruption.

You are solely responsible for maintaining backups of your data. In no event shall our total liability to you exceed the amount you paid for the software license.

8. Termination

We reserve the right to terminate or suspend your account and license immediately, without prior notice, if you breach these Terms and Conditions. Upon termination, your right to use the Service will immediately cease.

9. Governing Law

These terms shall be governed and construed in accordance with the laws of the jurisdiction in which FileSeek operates, without regard to its conflict of law provisions.
